iShoot.Direct LLC (“iSD”)

By visiting our iShoot.Direct or iShootdirect.com (together, the “Website”), or using our application (the “Application,” and together with the Website, the “Services”) you consent to these Terms and Conditions (the “Terms”). If you do not want to be bound by the terms of this Agreement, you should not use the Website or the Services. This is not an agreement to provide services.

Before you continue using our website, we advise you to read our privacy policy regarding our use and/or collection of user data. These Terms are meant to be read in conjunction with the privacy policy. You agree to the policy as well as the Terms by using the Services. By providing your contact information, such as your mobile phone number, you agree that we may contact you and or provide the Services through your mobile phone and you acknowledge that message and data rates may apply.

Age restriction

You must be at least 18 years of age before you can use the Services. . By using The Services, you warrant that you are at least 18 years of age and you may legally enter into and comply with this Agreement. We assume no responsibility for liabilities related to age misrepresentation.

You hereby represent and warrant that they will use the Services for their intended business purpose. iSD disclaims all liability of any kind relating to users, whether individuals or entities, that use the Services for any improper use, or for users that disclose content acquired through the Services in violation of their own confidentiality or privacy policies or obligations to others by contract or applicable law.

Intellectual property

Except as otherwise agreed in writing between us or as provided herein, you agree that all materials, products, and services provided on the Website or used elsewhere within the Services are the property of iSD or its licensees, affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property. You also agree that you will not reproduce or redistribute the iSD’s intellectual property in any way, including trade names and marks.

You grant iSD a royalty-free and non-exclusive license to use, copy, transmit, and broadcast the content you upload and publish solely as necessary to provide and ensure the quality of its video direction services. For issues regarding intellectual property claims, you should contact the company in order to come to an agreement.

Notwithstanding the foregoing, iSD does not claim ownership over video materials produced using the Website or the Services and makes no warranties or representations regarding same.

User accounts

As a user of this website, you may be asked to register with us and provide private information. We use such information only as detailed in our privacy policy. You are responsible for ensuring the accuracy of this information, and you are responsible for maintaining the safety and security of your identifying information. You are also responsible for all activities that occur under your account or password.

If you think there are any possible issues regarding the security of your account on the website, inform us immediately so we may address them accordingly.

We reserve all rights to terminate accounts, edit or remove content and cancel work orders at our sole discretion or as otherwise agreed in writing.

Applicable law

By visiting this website, you agree that the laws of Florida, without regard to principles of conflict laws, will govern these terms and conditions and any dispute of any sort that might come between iSD and you, or its business partners and associates unless otherwise agreed in writing.

Disputes

Unless otherwise agreed in writing signed by the parties, any dispute related in any way to your visit to this website or to use of the Services from us shall be adjudicated before the state or federal courts, as appropriate, located in Broward County, Florida, and you consent to exclusive jurisdiction and venue of such courts. Notwithstanding the foregoing, you and iSD may choose alternative dispute resolution programs, such as arbitration or mediation.

Indemnification

You agree to indemnify, defend and hold harmless iSD and its affiliates against legal claims and demands that may arise from your use or misuse of our services. We reserve the right to select our own legal counsel.

Direction from iSD

iSD provides, among other things, remote video directorial services, as such, users must follow instructions from their director to ensure the best possible video final product.

Limitation on liability

Unless expressly agreed otherwise, we provide the Services “AS IS” and make no representations regarding the outcome or effectiveness of its Services. iSD is not liable for any damages that may occur to you as a result of your misuse of the Website or the Services. iSD reserves the right to edit, modify, and change this Agreement at any time, effective as of the posting of these updates.

Video production

You understand and acknowledge that the video production and direction services provided by iSD are not consistent with or equivalent to a professional video shot with on-site crew with light kit, backdrops, audio gear, etc. Video quality will be consistent with web cam or smart device recordings.

This Agreement is an understanding between iSD and the user, and must be read in conjunction with both the privacy policy and any written engagement agreements between you and iSD. This Agreement may only be amended, modified or superseded by written agreements between the parties. The terms of this Agreement prevail and stay in effect unless the terms of such other written agreement expressly conflict or, by their terms, modify or amend this Agreement.
